The Service provides tooling to design, run, and manage modular workflows and automations, including the ability to connect third-party services; the Service is not designed to meet industry-specific regulations such as HIPAA, GLBA, or similar regulated regimes unless we expressly agree in writing, and you will not use the Service in a manner that would require such compliance absent such written agreement.

We may offer free, trial, and paid plans, and paid plans may include recurring subscription fees and may also include usage-based fees (for example, for compute, execution, storage, or third-party inference), all as described at the time of purchase or in an order form; you agree to pay all applicable fees, taxes, and charges associated with your account, and we may change fees or pricing with reasonable advance notice where required or commercially appropriate.

Unless otherwise stated in an order form, paid subscriptions renew automatically for successive billing periods until canceled, you may cancel through your account settings (or by contacting support) and cancellations generally take effect at the end of the then-current paid period, and except where required by law or expressly stated in writing, fees are non-refundable and we do not provide refunds or credits for partial periods.

As between you and ModuleX, you retain all rights in the data, content, code, prompts, workflow definitions, inputs, and outputs you submit to or generate through the Service (“Customer Content”), and you grant ModuleX a limited, non-exclusive, worldwide right to host, process, transmit, and display Customer Content solely to provide, secure, and maintain the Service and as otherwise described in our Privacy Policy.

As between you and ModuleX, you retain all rights in the data, content, code, prompts, workflow definitions, inputs, and outputs you submit to or generate through the Service (“Customer Content”), and you grant ModuleX a limited, non-exclusive, worldwide right to host, process, transmit, and display Customer Content solely to provide, secure, and maintain the Service and as otherwise described in our Privacy Policy.

If you use “Bring Your Own Key” (BYOK), you may provide API keys or credentials to enable the Service to call third-party services on your behalf, and you acknowledge that (a) those third-party services are governed by their own terms and privacy policies, (b) you are responsible for your relationship with them (including costs, permissions, and compliance), and (c) ModuleX does not store BYOK API keys in long-term storage and handles them transiently only for the duration needed to complete an active session and/or workflow run and then discards them; you are responsible for securing your keys, rotating them if you suspect compromise, and ensuring you have rights to transmit any data to third-party services through your workflows.

You will use the Service only in compliance with applicable law and these Terms, and you will not misuse the Service, including by attempting to gain unauthorized access, interfering with or disrupting the Service, scraping or harvesting data at scale without permission, reverse engineering or attempting to extract source code except to the extent prohibited by law, using the Service to create or offer a competing product, transmitting malware, or using the Service to infringe or violate the rights of others.

If you submit feedback, suggestions, or ideas to ModuleX, you grant us a non-exclusive, perpetual, irrevocable, worldwide right to use, modify, and incorporate that feedback without restriction or compensation, and you agree that feedback is not confidential.

We employ reasonable measures designed to protect the Service and Customer Content as described in our Privacy Policy, but you understand that no system is perfectly secure and you are responsible for implementing appropriate controls in your own environment; the Service may be modified, updated, interrupted, suspended, or discontinued from time to time, and we do not guarantee uninterrupted availability, specific uptime, or that errors will be corrected unless we expressly agree in a written SLA or enterprise agreement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MODULEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MODULEX FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU ARE ON A FREE PLAN, US $100), EXCEPT TO THE EXTENT LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules, and you agree to first attempt to resolve disputes informally by contacting legal@modulex.dev ; if a dispute is not resolved within a reasonable period, either party may pursue claims in the state or federal courts located in Delaware, and you and ModuleX consent to personal jurisdiction and venue in those courts, except where mandatory consumer protection laws in your jurisdiction require a different forum.
